leading firm specializing in venture capi-

tal and private equity transactions, fund

formation, real estate, M&As, companies law,

regulation, corporate litigation, hi-tech, antitrust

and taxation. The firm provides legal consultancy

services and routine support to companies and

organizations, startups, VC funds, private equity

funds, entrepreneurs, foreign investors, vehicle

importers etc. The firm was founded in 2008 by

advocates Mimi Zemah and Ehood Schneider as

a boutique law firm with partners and staff work-

ing with a sense of vocation and commitment to

clients, making significant decisions with them

with a concern for their optimal implementation.

During 2016 a tax department, under the leader-

ship of Adv. (CPA) Achu Frank, hasmerged into the

firm. The firm’s essential attributes are personal

involvement with direct contact and access to se-

nior partners and their ability to provide creative,

precise solutions, and swift responses, even to

complex, tangled legal issues.

Areas of Specialization

Venture Capital & Private Equity –

The firm has

gained vast experience in the representation of

private investment houses andVenture Capital and

Private Equity Funds both in Israel and abroad,

including representation of the funds in their for-

mation, and through all their investments. The

firm had also advised funds through their suc-

cession process and funds in liquidation. The

firm has broad experience in supporting capital

investments, VCand private equity loans and other

forms of financial investments in various stages

of the portfolio companies. Over the past year the

firm was involved in venture capital transactions

amounting together to a value of over a quarter of

a billion US$.

Hi-Tech –

The firm provides legal services to high-

tech companies in every aspect of their activities

from the concept stage through various investment

stages, acquisitions, ongoing operations and exit

(including investment agreements, commercial

agreements, licensing agreements, distribution

agreements, employee option agreements

and

option plans, strategic agreements, labor law

etc.) including legal consultancy to company

owners, consultancy in investment rounds, and

in acquisitions.

Mergers & Acquisitions (M&As) –

The firm’s law-

yers have many years of experience in handling a

wide range of M&A transactions including purchas-

ing and transferring ownership of private compa-

nies, merging shares and mergers for cash, etc.

The firm’s clients include major international and

local companies.

The firm also represents companies and share-

holders at shareholders meetings, and provides

consultancy on corporate governance issues.

Antitrust –

The firmhas been successful in obtain-

ing the approval of the Antitrust Commissioner for

100%of themergers and arrangement brought be-

fore it. The firm represents the Association of Vehi-

cle Importers as well as numerous Private Vehicles

importers in the areas of regulation, competition

law, franchises, and on routine legal matters.

Commercial Litigation –

The firm’s lawyers assist

clients in diverse litigation aspects while striving

to reach a practical long-termsolution for every dis-

pute acceptable to all parties, through a swift and

effective process. Recently, the firm represented

Automotive Equipment in a class-action suit filed

against it for US$1.3 billion and brought about its

rejection by the Israeli Supreme Court. The firm

also represented seven vehicle importers in a suit

filed against them for NIS 100million and brought

about its rejection.

Real Estate –

Zemah, Schneider & Partners rep-

resents developers, landowners and investors in

real-estate transactions, sales, financing, develop-

ment of commercial and residential projects, com-

bination deals, and procedures before the relevant

Israeli authorities. As part of its activities, the firm

recently represented the seller of a Power Center

to British-Israel for over NIS 100 million.

Tax –

The firm’s tax department handles a broad

range of personal and corporate tax matters, in-

cluding cross-border taxation, trust and estate,

real estate tax, acquisitions and reorganizations.

The firm’s tax services are rendered to major com-

panies and some of Israel’s wealthiest families,

as well as to small and mid-size businesses. The

firm provides advisory services and represents in

tax disputes.

The Firm’s Lawyers

Mimi Zemah is a member of the Israeli Bar since

1993, and holds an LL.B. from the Tel Aviv Uni-

versity and an LL.M. in Corporate Law, from New

York University – School of Law. For over 23 years

she has been representing Venture Capital and

Private Equity funds and startups both in Israel and

in the US, such as Greylock, Benchmark, Evergreen,

Giza, Battery, Shamrock, Evolution, Singulariteam,

Trilogy, Symphony Ventures andmore. EhoodSch-

neider is amember of the Israeli Bar since 1987. He

specializes in corporate law, regulation, real estate,

commercial litigation and antitrust. Ehood holds an

LL.B. from the Hebrew University since 1986.
