Capital Markets, Securities and Corporate Law
The firm specializes in providing legal services
to various clients active in capital markets.
The firm has handled a large number of capital
market transactions representing both issuers
and underwriters in the issuance of securities
on the Tel-Aviv Stock Exchange Ltd., NASDAQ,
AMEX, the AIM and the LSE. The firm has built up
its experience of complex international transac-
tions having represented the joint book runners,
Morgan Stanley, Deutsche Bank and Goldman
Sachs in the $1.4 billion initial public offering on
the London Stock Exchange of AFI Development
PLC, a subsidiary of Africa Israel Investments,
one of the largest companies listed on the Tel
Aviv Stock Exchange.
In addition, the firm acted for the government
of the State of Israel on the Rule 144A offering
of Oil Refineries Ltd. which, together with the
firm’s representation of UBS, the sole interna-
tional placing agent of the securities of Azrieli
Ltd., are the two largest ever IPOs on the Tel Aviv
Stock Exchange.
In addition, the firm has assisted in producing
a number of innovative and complex financial
products for its clients and is active in issuing
and raising private financing and in that re-
spect securitization of cash flow and structured
financing.
The firm has been providing ongoing legal ad-
vice to many public companies registered to
trade in Tel Aviv, London and New York.
M&A
The firm has represented and represents own-
ers, controlling members and holding groups in
various tens of millions of US Dollars transac-
tions of purchase of control / transfer of con-
trol. The firm represents various investors and
in particular, institutional investors, in their in-
vestments In private investment funds (Private
Equity). The firm also represents both local and
international Investment funds on their Israeli
investments.
International Transactions
The International Department is staffed by at-
torneys licensed to practice in the UK and the
US in addition to being members of the Israel
Bar. The department accompanies Israeli and in-
ternational clients (including high-tech, commu-
nications, life science cleantech and real estate
companies) in their commercial transactions in
Israel and overseas. The firm’s understanding,
capability and experience of handling interna-
tional and cross border transactions is dem-
onstrated by close cooperation with a number
of international law firms and financial institu-
tions. The firm is renowned for representing its
clients in their global investments with a focus
on complex transaction in emerging markets
including East Europe and India.
Banking, financial transactions and financial
services
The firm offers legal services in the banking
sphere to commercial banks, insurance com-
panies, investment banks, non-banking institu-
tions and lenders, Israeli and foreign.
Real Estate Planning and Construction
The firm advises entrepreneurs and contrac-
tors both in Israel and overseas, in real estate
transactions such as: purchase and sale trans-
actions, “combination” transactions, rental
agreements for commercial, industrial and
residential properties.
Civil-Commercial Litigation
Clients are represented by the firm before all ju-
dicial and quasi-judicial bodies (arbitration and
mediation), in a broad range of civil-commer-
cial-administrative litigation, including control
disputes, class actions, tenders, international

Labor Law
The labor law department of the firm provides
ongoing legal services to human resources man-
agement, including preparing contracts, opin-
ions, stock option plans and trusts, and advises
on employee and employer rights.
