General Corporate Representation; M&A, Hi-tech:
The firm advises to private sector firms, that man-
age business on awide range of areas. The legal ad-
visement includes various corporate issues, such
as establishing partnerships, companies, hedge
funds and joint ventures, providing legal opinions,
and handling transactions. The firmhandles draft-
ing corporate acquisition and investment agree-
ments, M&A, transfer of knowledge, distribution,
licensing for transfer of technology, marketing,
franchising, employments agreements, etc.
Real Estate: The real estate and development
practice of the firm provides a full range of legal
services through all the successive steps of a real
estate property life-cycle: from ‎acquisition, through
zoning and planning, to financing, construction,
registration, and sale or rent. The firmhas been in-
volved in a wide range of projects, ranging from the
construction of commercial centers, large residen-
tial areas and shoppingmalls, to ‎hotels, industrial
buildings and other projects. The firmalso holds a
particular expertise related to complex real estate
transactions and financing thereof, representing
both leading real estate ‎entrepreneurs and banking
institutions regarding the financing of large-scale,
complex real estate projects in Israel.‎
Planning & Zoning: The firm has unique exper-
tise in the field on planning & zoning. The firm
accompanies leading entrepreneurs in the initiat-
ing of urban building plans for residential, employ-
ment and hoteliery purposes across Israel, from
the initial stages of preparation of the plans to
the stage of building permits’ issuance, as well
as representation before the different planning
committees, before municipal authorities and in
legal proceedings before the courts of law. The firm
consults companies and individuals in filing and
responding tomotions of objection for plans, while
specializing in the reformof the Planning & Zoning
Law, and in analyzing master zoning plans and fil-
ing objectionmotionswith respect thereto. The firm
represents many entrepreneurs and individuals

Banking & Capital Markets: The firm has vast ex-
perience in the field of initial public offerings and
private offerings as well as in representation of
issuers, banks andmajor entities in the Israeli mar-
ket. Additionally, the firm has a unique expertise
in legal counseling regarding regulation of Israeli
Stock Exchange. Within the scope of banking &
capital markets legal services, the firm is engaged
in transactions, such asmergers and acquisitions,
private offerings and all sorts of financing agree-
ments, as well as in preparations of prospectuses,
compensation plans, advising public companies in
matters of corporate governance and representa-
tion in front of regulatory bodies. In the field on
banking, the firmprovides legal services to domes-
tic and foreign banks, and to financial institutions,
in all areas of banking activities. Within this scope,
the firm is involved in the field of banking licens-
ing, in acquisition and sale of controlling stakes in
banks, in banking regulation - including represen-
tation of its clients in front of regulatory authorities
which include inter alia the Bank of Israel and the
Israeli Supervisor of Insurance - and in all aspects
of corporate governance in banks.
Litigation: The firmspecializes in complex litigation
in the fields of commercial and civil laws, corporate
law, banking, securities, real estate, planning &
zoning, business ‎licensing, professional negli-
gence (attorneys at law and officers of companies).
Amongst other the firm represents its clients in
complex class actions and derivative lawsuits ‎in
the fields of banking and securities laws, as well
as in administrative petitions and tender laws. The
litigations partners of the firm regularly act as me-
diators and arbitrators ‎in various litigation proceed-
ings, including in the fields of banking, real estate
and commercial disputes, and also lecture on such
subjects. The firmmanagesworldwide ‎litigation on
behalf of its clients, and closely supervises such
proceedings, amongst other by way of engaging
domestic legal counsels.
Liquidation and Receivership: The firmoffers broad
expertise in all matters relating to liquidation and
receivership procedures (including debt arrange-
ments, companies’ ‎recovery, companies’ special
management, etc) and the firm’s lawyers act from
time to time as liquidators or receivers of compa-
nies, especially on behalf of commercial ‎banks.
During recent years the firmhas positioned itself in
the first tier of debt arrangements, and led series of
high-profile debt arrangements conducted in Israel
which ‎include, inter alia, the largest debt arrange-
ment ever conducted in Israel, of approximately
7.5 billion NIS. In the field of debt arrangements,
the firm represents public and ‎private companies
which seek to reach a debt arrangement with their
creditors, as well as bond holders and trustees
which seek to reach such arrangements with in-
solvent ‎companies.‎
Labor Laws: The firm represents its clients, which
act in almost every existing employment sector,
in all ongoing issues regarding their employees,
including general employees’ ‎rights, social rights,
dismissal and resignation aspects, conduct of
hearings, employment contracts, retirement
contracts, obligation deeds and other legal docu-
ments, counseling and establishment of a layout
for ‎investigating sexual harassment and maltreat-
ment complaints, and implementation of internal
regulation compliance bodies.‎
